1. Who We Are

HFTSignal ("Company", "we", "us", "our") is a technology company incorporated in India, operating the algorithmic trading execution platform available at app.hftsignal.com (the "Platform").

HFTSignal is not a SEBI-registered Investment Adviser, Research Analyst, Portfolio Manager, Stockbroker, or Sub-Broker. We are a software technology provider.

2. Acceptance of Terms

By accessing or using the Platform, you ("User", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and HFTSignal. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Nature of the Service

3.1 What HFTSignal Provides

HFTSignal provides:

• Algorithmic execution infrastructure — containerized computing environments to run trading strategy code against live and simulated broker accounts.
• Strategy code templates — pre-written algorithmic code structures that Users may copy, modify, and configure with their own parameters.
• Backtesting environment — tools to replay strategy logic against historical market data.
• Paper trading simulation — tools to test strategies using real-time market data without placing real orders.
• Broker API connectivity — secure connectors to User's own SEBI-registered broker accounts via official broker APIs.

3.2 What HFTSignal Does NOT Provide

HFTSignal does not:

• Provide investment advice, stock recommendations, or financial advice of any kind.
• Pre-fill or recommend specific instruments, securities, entry prices, exit prices, or position sizes.
• Manage, hold, or have custody of User funds at any time.
• Guarantee or represent that any strategy will be profitable.
• Act as a broker, sub-broker, or intermediary in any trade.

3.3 The User Decides Everything

All of the following are entirely your decisions:

• Which securities or instruments to trade
• Entry and exit thresholds and price levels
• Position sizes and capital allocation
• Risk parameters and stop-loss levels
• Whether to deploy a strategy to paper or live trading

HFTSignal provides the technical infrastructure to execute what you decide. You are the sole decision-maker.

4. Regulatory Disclaimer

4.1 Not Investment Advice

Nothing on the Platform — including strategy templates, backtest results, documentation, help articles, or any communication from HFTSignal — constitutes investment advice or a recommendation to buy, sell, or hold any security.

4.2 SEBI Registration

HFTSignal is a technology platform. Users who engage in algorithmic trading are responsible for ensuring their own compliance with applicable SEBI regulations, including SEBI (Research Analysts) Regulations, 2014, SEBI (Investment Advisers) Regulations, 2013, and any circulars or guidelines issued by SEBI related to algorithmic trading.

4.3 Algo Trading Compliance

Users who deploy algorithms through their broker accounts are responsible for ensuring compliance with their broker's policies on algorithmic trading, any applicable SEBI guidelines on retail algorithmic trading, and any broker whitelisting or approval requirements.

5. Backtest and Performance Disclaimer

5.1 Simulated Results

Backtest results on the Platform are simulated. They are computed by replaying strategy logic against historical data and are not real trading results.

5.2 Not Indicative of Future Performance

Strategy performance in a live market may differ materially from backtest results due to market conditions, liquidity, slippage, transaction costs, latency, partial fills, and other real-world factors not fully captured in simulation.

5.3 No Guarantee of Profit

HFTSignal makes no representation or guarantee that any strategy, template, or tool available on the Platform will generate profits or avoid losses.

6. Broker Account and Capital

6.1 Your Own Broker Account

The Platform connects to your own independently-held SEBI-registered broker account (e.g., Zerodha, Upstox). You must have an active account with the relevant broker and agree to that broker's terms and conditions.

6.2 No Custody of Funds

HFTSignal does not hold, manage, pool, or take custody of your funds at any time. All capital remains in your own broker account and is subject to that broker's terms.

6.3 Credential Storage

To execute trades on your behalf, you provide your broker API credentials (API key, secret, and access tokens). These are stored encrypted using industry-standard envelope encryption. You are responsible for keeping your broker credentials secure and for revoking access at any time through your broker's portal.

6.4 Kill Switch

The Platform provides a global kill switch to cancel all running strategies. You are responsible for monitoring your live strategies and using this feature when needed.

7. Eligibility

You must meet all of the following criteria to use the Platform:

• You are at least 18 years of age.
• You are a resident of India or are otherwise eligible under applicable laws to participate in securities trading in India.
• You hold a valid, active broker account with a SEBI-registered stockbroker.
• You are accessing the Platform for your own personal or professional trading activity (not on behalf of third-party clients, unless separately agreed in writing with HFTSignal).
• You have not been prohibited by SEBI or any other regulatory authority from participating in securities markets.

8. User Accounts

8.1 Google Authentication

Access to the Platform is granted via Google OAuth authentication. By signing in, you authorize HFTSignal to access your Google account's email address and profile for identity verification.

8.2 Invite-Only Access

During the private beta phase, access to the Platform is by invitation only. HFTSignal reserves the right to revoke access at any time.

8.3 Account Responsibility

You are responsible for all activity conducted through your Platform account. You must not share your access credentials or allow third parties to use your account.

9. Subscriptions and Payments

9.1 Tiers

The Platform may offer a Free Tier with limited features and paid subscription tiers (e.g., Pro) with expanded capabilities. The features included in each tier and their pricing are published on hftsignal.com and may change with notice.

9.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payments are non-refundable except where required by law or explicitly stated in the subscription terms.

9.3 Suspension for Non-Payment

HFTSignal may suspend or downgrade your account if a subscription payment fails or remains unpaid.

10. Intellectual Property

10.1 Platform Ownership

The Platform, its design, code, algorithms, infrastructure, and all content created by HFTSignal (including strategy template structures) are the intellectual property of HFTSignal and are protected under applicable Indian intellectual property laws.

10.2 Your Strategies

When you copy a strategy template and configure it with your own parameters, the resulting configured strategy (your instrument selections, threshold values, and capital allocation) is your own work product. HFTSignal does not claim ownership over the specific parameter values you set.

10.3 Restrictions

You may not reverse-engineer, decompile, resell, sublicense, or redistribute the Platform or its underlying software without prior written consent from HFTSignal.

11. Prohibited Use

You must not use the Platform to:

• Engage in market manipulation, front-running, layering, spoofing, or any activity that violates SEBI regulations or exchange rules.
• Conduct any activity on behalf of a third party without appropriate regulatory authorisation.
• Circumvent any rate limits, access controls, or security measures of the Platform or connected broker systems.
• Upload or execute malicious code, scripts, or any software that could harm the Platform or other users.
• Attempt to gain unauthorised access to other users' data, broker credentials, or any system component.

12. Limitation of Liability

12.1 No Liability for Trading Losses

HFTSignal shall not be liable for any financial losses, trading losses, lost profits, or loss of capital arising from your use of the Platform or any strategy deployed through it.

12.2 Service Availability

HFTSignal does not guarantee uninterrupted availability of the Platform. Downtime, latency issues, or technical failures may occur and could affect strategy execution. HFTSignal shall not be liable for losses resulting from such interruptions.

12.3 Cap on Liability

In any case, HFTSignal's maximum aggregate liability to you for any claim arising under these Terms shall not exceed the subscription fees you paid to HFTSignal in the three (3) months preceding the claim.

12.4 Broker API Failures

HFTSignal is not responsible for failures, delays, or errors in broker APIs, exchange systems, or any third-party service outside our control.

13. Indemnification

You agree to indemnify and hold harmless HFTSignal, its directors, officers, and employees from any claims, damages, liabilities, or costs (including legal fees) arising from: your use of the Platform, your violation of these Terms, your trading activities, or your violation of any applicable law or regulation.

14. Termination

14.1 By You

You may stop using the Platform at any time. To close your account, use Help → Submit a Query inside the Platform or email shubh.agr1994@gmail.com. You are responsible for cancelling any live or paper strategies before closing your account.

14.2 By HFTSignal

HFTSignal may suspend or terminate your access at any time for any reason, including violation of these Terms, suspected fraudulent activity, or regulatory requirements. We will endeavour to provide reasonable notice where possible.

14.3 Effect of Termination

On termination, your access to the Platform ceases. HFTSignal is not responsible for any open strategies, positions, or orders at your broker at the time of termination.

15. Modifications to Terms

HFTSignal may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
